State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Presto Automation Inc. (“Presto” or the “Company”) has determined that it will not be able to file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2023 (the “Quarterly Report”) within the prescribed time period as it is still finalizing its financial results and preparing the according disclosures and will need the time from the extension to do so.
The Company will file the Quarterly Report within the five-day extension period provided for under Rule 12b-25.

The Company is required by Part IV, Item (3) of Form 12b-25 to provide as part of this filing an explanation regarding whether the results of operation it expects to report for the quarterly period ending March 31, 2023, will reflect significant changes from the Company’s results of operations for the quarterly period ended March 31, 2022. Because the Company has not completed its financial statements and the necessary reviews as described above, the Company is unable to provide a reasonable estimate of its results of operations for the quarterly period ended March 31, 2023 and will instead provide them by the extended deadline.
